Chapter 1. Entry
There is a contractually binding relationship between AYMNET and its ABGs (AYMNET Independent Entrepreneur).
1.1. Contract: The AYMNET Business Rules contain the terms and conditions for an AYMNET business. It defines the rights, duties, responsibilities and legal relations of each ABG with AYMNET and other ABGs. Additional AYMNET Policies form an integral part of the ABG Contract Applicants accept that these additions are a part of the ABG Contract with the document they approve when they register through www.aymnet.com.tr (or through websites of other countries created by AYMNET) All ABGs are obliged to act in good faith and honestly within the terms of the ABG Contract
1.2. Conditions of an ABG Contract: Upon confirmation of the ABG Contract during registration, the ABG shall gain rights to purchase and resell AYMNET Products and Services, to earn bonuses and qualification under the AYMNET Entrepreneur Business Plan, to receive rewards and incentives and to be recognized.
1.3. Amendments: AYMNET may amend the AYMNET Business Rules and Policies and the provisions of the ABG Contract and its annexes, in whole and / or in part, if necessary. All amendments take effect from the date of publication. AYMNET Board of Directors may change the publication and enforcement dates if it wishes.
1.4. Severability: In the event that a current rule or sub-rule is announced invalid by a court or other competent authority, this decision does not affect the validity of the remaining AYMNET Business Rules and Policies.
1.5. Nothing indicated herein shall require ABG to waive any of its rights to the protection afforded to it by law. These rules and policies cover all countries where AYMNET operates.
Chapter 2. Terms, Descriptions and Definitions
AYMNET: It is the abbreviation of Aktif Yaşam Merkezi Network (Active Life Center Network) and the title of the company. Company ; AYMNET INTERNATIONAL LTD which is a Branch of AYMENT BİTKİSEL VE TEMİZLİK ÜRÜNLERİ DANIŞMANLIK İTHALAT İHRACAT SANAYİ VE TİCARET A.Ş. and Franchise. It also indicates that it has adopted a direct sales / multi-level marketing system.
ABG: It is the abbreviation of AYMNET Independent Entrepreneur and refers to entrepreneurs who are committed to AYMNET mission and vision and the ones who carry out activities in this system.
ABG Membership Contract: It refers to the ABG Application and related documents that set out the terms of the contract between the ABG and AYMNET.
Back Office: It is AYMNET's e-commerce system, reporting on the product catalog, order and business model of all members and entrepreneurs and in-house training-communication portal.
AYMNET Ethics Committee: The independent unit that inquires the behaviors against AYMNET policies, contracts and rules and decides on the necessary sanctions.
ABG Registration: It is the registration process made through the system by the candidate AYMNET independent entrepreneur or the registration process made through upon the link submitted.
Corporate ABG: The taxpayer real or legal person who has the right to purchase, sell and establish an organization by purchasing products without discount at once at the points/amount initially determined by AYMNET.
AYMNET Active Life Center Offices: These are the offices established by ABGs independently from the company by obtaining permission from AYMNET and complying with legal procedures to carry out activities such as product sales/promotion, AYMNET Entrepreneur Business Plan presentation, customer acquisition and follow-up, team meetings, etc. within the scope of AYMNET business.
AYMNET Business: The job identified by an ABG number and ABG Contract.
ABG Activity: Any activity undertaken for the purpose of promoting or establishing the AYMNET Business.
AYMNET Entrepreneur Business Plan: Products, marketing, support and payment system provided by AYMNET under the ABG Contract. Profit plan for ABGs based on product sales, where bonuses, fees or commission payments and incentives are described in the official AYMNET literature.
AYMNET Business Policies: The rules and policies set forth in the official AYMNET literature, including the AYMNET Business Rules and other AYMNET Policies as may be updated as deemed necessary by AYMNET in connection with the ABG Contract.
AYMNET Member Handbook: A book describing the rules, policies and entrepreneurial business plan on sales and marketing for ABGs found in the official AYMNET literature.
AYMNET products: All goods and services provided to ABGs by AYMNET for the purpose of sale and marketing.
Premium, fee or Commission: Payments made by AYMNET to an ABG - in compliance with the AYMNET Entrepreneur Business Plan - based on sales of AYMNET Products made by it and its group.
Market: AYMNET Company (Branch) which Gives AYMNET Entrepreneur Work Opportunity in a Country / Field Where Franchise Distributors Carry Out Activity
Depth: Lines ordered one below the other (articulated one below the other)
Arm: Vertical ABG teams attached to the first lines connected to the ABG.
Career: It refers to the titles predetermined by AYMNET, such as jade entrepreneur, pearl entrepreneur, sapphire entrepreneur, ruby entrepreneur, emerald entrepreneur, diamond entrepreneur, etc., which are earned by ABGs by obtaining qualification.
Activeness: It is the purchase of personal products through www.aymnet.com.tr (or websites of other countries created by AYMNET) made on the first and the last days of every month for ABG to qualify for the specified premiums and prices.
Official AYMNET literature: Informational magazines, brochures, product information leaflets, product labels, audio and video cassettes, CD-ROMs and other printed or audio/visual materials produced by or for AYMNET, which ABGs may get from AYMNET.
Official AYMNET Website: It states www.aymnet.com.tr (or websites of other countries created by AYMNET)
Qualification, Qualified or Qualifying: Achievement of defined criteria to earn premiums and rewards in compliance with the AYMNET Member Handbook. Being granted rewards and promotions by achieving the targets established by the company in certain periods.
Retail customer: A person who purchases through an ABG and a sales contract or personally through the official website of Aymnet or directly from e-commerce sites.
Leader: The ABG who becomes a team owner by introducing a person whose ABG application has been accepted by AYMNET to the AYMNET Business.
Business Volume: It refers to the turnover in points converted personally or across all lines, arms and depths of ABG, excluding Entrepreneur level points.
First Contact: This is an offer made by an ABG to provide information about the company, products and profit plan to any real or legal person in person or electronically and to carry out AYMNET business with the informed person within the extent of mutual consent.
Chapter 3. Becoming an ABG
3.1. By making purchases according to the the entrepreneur level criteria by means of approving the ABG contract through www.aymnet.com.tr (or websites of other countries created by AYMNET).
3.2. Real persons who are husband and wife can be ABGs with a single license or they can be ABGs with separate licenses provided that they are referenced by each other.
3.3. A husband and his wife or First Degree Relative are presumed to have their respective AYMNET Businesses in connection, regardless of whether they are both named on the AYMNET Business. Therefore, for the purposes of the AYMNET Business Rules, the behavior of all spouses and First Degree Relatives is also taken into account.
3.4. If two ABGs running AYMNET Business get married, regardless of whether they are in different Leadership Lines or in the same Leadership Line, they can continue their careers in their existing line, but they cannot shift their business volumes and entrepreneur registrations to their spouse in the other line.
3.5. In case an ABG leaves the AYMNET business or if their membership contract is terminated and expelled by the ethics committee, there is no question of returning or transferring their account to another person.
3.6. If spouses hold separate licenses, only the ABGs in the qualified career can attend decision meetings, certificate programs and qualifying events. This requirement is not required for other events.
3.7. An ABG can transfer their AYMNET business to their spouse and 1st degree relatives without any fee by applying through the website / or by submitting an e-mail.
3.8. An ABG can use the bank account information of their spouse and 1st degree relatives for the payment of premiums and progress payments due to them within the extent of AYMNET business through www.aymnet.com.tr and with a wet signed petition. Progress payments cannot be made to different persons.
3.9. Conditions for Being an ABG: Without prejudice to AYMNET's and any person's discretion to approve an ABG contract, the person entering into an ABG Contract with AYMNET must fulfill the following conditions:
a. It is sufficient to be eligible to enter into the contract, to be of legal age and not to be restricted.
b. If the applicant or the applicant's spouse has previously operated under an ABG Contract that has expired or has not been renewed, they may re-contract, provided that they have not been expelled by the AYMNET ethics committee.
c. In case of resignation from being ABG, a period of at least six (6) months must have elapsed from the date of acceptance of the resignation in order to become an ABG again (The right to resign cannot be used for those who have registered in the system but have not purchased any products).
d. Lack of a second ABG registration
3.10. Acceptance or Rejection of an ABG Application: AYMNET reserves the right to accept or reject an ABG Application.
3.11. Acceptance and Starting: By purchasing any of the specified entrepreneur bundles by means of approving the ABG contract by registering through www.aymnet.com.tr (or websites of other countries created by AYMNET) and completing the purchasing processes, the ABG membership starts.
3.12. Duration of the Contract: The ABG Contract is indefinite.
3.13. Termination and Cancellation of Contract: An ABG can resign from being ABG at any time by submitting written notice (product return and cancellation are considered as resignation with the product and the contract is terminated).
In the following cases, the ABG contract may be cancelled or unilaterally terminated by AYMNET.
a. Resignation
b. Returning the product after purchasing the first entrepreneur level
c. Death
d. Loss of ABG conditions in any way
e. Understanding that the ABG has made a duplicate ABG registration with different information (AYMNET may cancel the duplicate registration or cancel both registrations in this case).
f. In case of product return, this is considered as resignation with the product.
g. Dismissal decision by the ethics committee
3.14. In addition, the contract can be terminated with the dismissal decision of the AYMNET Ethics committee as a result of the investigation.
3.15. Repurchase: Except for the applications made within the conditions and period specified in the law regarding law on the protection of consumer no 6502 in Turkiye, products are not taken back. Return terms are available on our website. AYMNET product return terms also apply in this regard.
3.16. AYMNET Business Executed through a Legal Entity: A party to the ABG Contract may be a legal entity, provided that it complies with the requirements and conditions defined in the contract.
3.17. The person ratifying the ABG Contract on behalf of a legal entity must be an authorized representative of that legal entity. The person authorized to represent must personally comply with the qualifications set out in section 3.9. of the AYMNET Business Rules.
3.18. A legal person must obtain the information and documents they want from AYMNET.
3.19. Conspiracy; Cause of Breach: An ABG shall not participate with another person in a conspiracy to violate or cause a violation of the ABG Contract.
3.20. Disclosures and Warranties: An ABG shall not misrepresent or deceive AYMNET into accepting the ABG contract under false pretenses.
3.21. AYMNET shall not breach any representations and warranties, including but not limited to the representations and warranties set out in section 3.15 of the Business Rules 3.15
3.22. An ABG hereby agrees to be bound by the company's rules and policies in promotion, marketing and sales activities related to AYMNET and AYMNET business.
3.23. Unauthorized Business Activities: No ABG may execute unauthorized ABG activities in markets that AYMNET has not yet entered.
Chapter 4. General Responsibilities and Obligations of ABGs
An ABG shall at all times act in a professional, courteous, respectful manner and conduct the AYMNET Business in a fiscally responsible and serious manner (holistically covered in the items below). ABG shall never engage in forced sales, deceptive or misleading sales and marketing practices.
4.1 Contractual Obligation: An ABG must comply with the responsibilities and conditions set out in the AYMNET Business Rules and AYMNET Policies.
4.1.1 Reporting Violations: An ABG is obliged to immediately report to the AYMNET Ethics Committee ([email protected]) any actual, potential or threatened violation by another ABG of the AYMNET Business Rules and Policies or the ABG Contract, including applicable laws and regulations.
4.1.2 Cooperation in Research: ABG shall cooperate with AYMNET in any research performed by AYMNET in compliance with the process described in chapter 10 of the AYMNET Code of Ethics.
4.2 Purchase of AYMNET products
4.2.1 To be eligible for rewards and incentives under the AYMNET Entrepreneur Business Plan, an ABG must only purchase AYMNET Products and Services and official AYMNET literature directly from AYMNET. An ABG must not sell AYMNET Products and Services to another ABG and/or members.
4.3 Import/ Export/ Points of Retail Sale/ Mass Marketing:
4.3.1 ABGs shall not export or import to any other country from any country in which AYMNET operates, or sells knowing that they are importing or exporting, without authorization from the company.
4.3.2 ABGs shall not exhibit or sell, or allow to be exhibited or sold, AYMNET Products and Services, official AYMNET literature at any point of retail sales (except corporate or legal membership) or e-commerce sites where different products are sold, except Active Life Center Offices.
4.3.3 ABGs shall not advertise AYMNET Products and Services in mass media or use any form of broadcasting or mass media without permission from AYMNET for the purpose of obtaining customers, promoting the sale of AYMNET Products and Services, explaining or displaying the AYMNET Sales and Marketing Plan or AYMNET Entrepreneur Business Plan or encouraging persons to become ABGs. In this context, for example, but not limited to, mass mailing, telemarketing, radio, television, unsolicited e-mail messages, over-the-counter marketing, Web sites (sales sites and other Internet sites, including sites operating on the Internet with auction or auction, campaign method) shall not be used.
However, product sales can be made through the e-commerce website, which is the company's own product and was opened for the use of ABGs within the conditions to be determined by the company. It may also engage in activities such as adwords, sponsored advertising of this website. However, the sales activities to be found on this website are under ABG's own responsibility and do not bind the company. However, ABG is obliged to comply with AYMNET's code of ethics and these contractual rules also on this website.
However, in organizations that are not technically points of retail sales, such as fairgrounds, hairdressing/barber salons, weight loss resorts, and promotional stands in shopping malls, promotions can only be made for display purposes.
When using any social communication tool, ABGs must comply with AYMNET Business Rules, AYMNET Policies as well as the terms and conditions of the related social communication site.
Provided that it complies with the AYMNET Website Policy and is approved in writing by AYMNET, an ABG may maintain a website for the aim of promoting the AYMNET Business, AYMNET Products and Services.
Provided that it complies with the AYMNET Social Media Policy and is approved in writing by AYMNET, an ABG may maintain a social media account for the aim of promoting the AYMNET Business, AYMNET Products and Services and can promote and sell through this channel.
4.3.4 ABGs shall not make use of any event or media channel supported by AYMNET for the sale or promotion of non-AYMNET products or services, nor shall they profit from the sale or promotion of non-AYMNET products and services. This also applies to any event or media channel organized for the benefit of or targeting ABGs or candidates.
4.4 Wrong Introduction: ABGs shall not carry out any activities or make statements that are wrong, lacking or not appropriate in terms of the contents and conditions regarding AYMNET Job and AYMNET Entrepreneur Work Plan. They shall not avoid making statements that support AYMNET Job or AYMNET Entrepreneur Work Plan or related to them. Descriptions of AYMNET products may only be taken verbatim from official AYMNET literature, official AYMNET websites and social media accounts that have been prepared and approved for use in that market.
Therefore, ABG shall not do the following;
4.4.1 Making exaggerated or unsubstantiated claims and/or statements other than those printed in the official AYMNET literature, including but not limited to medical and/or health-related claims/statements, including statements regarding AYMNET Products made by doctors and/or third parties or organizations;
4.4.2 Misrepresenting AYMNET Products and Services or products distributed by AYMNET in terms of prices, quality, standards, grades, content, style or model, source or availability of the product;
4.4.3 Giving declaration that AYMNET Products or products distributed by AYMNET are supported, endorsed or offered with features that do not actually exist in terms of efficiency, accessories, uses and locations or benefits;
4.4.4 Presenting or acting in a deceptive manner about AYMNET, AYMNET Products or the products distributed by AYMNET, or promoting or acting as if AYMNET distributes products that AYMNET does not distribute.
4.4.5 Giving a negative message to another ABG within the campaign, demotivating them, making false and misleading statements about the company and company officials in a written or verbal way that insult and/or offend. Writing insulting articles or making disrespectful statements on social media environments such as Twitter, Facebook, etc. against an ABG, the company and company employees and other ABGs, or attacking their personal rights.
4.4.6 Engaging in immoral behavior that would be contrary to the general customs, traditions and rules of behavior in AYMNET's activities or in environments where they may be present at the point of representing AYMNET.
4.4.7 Although an ABG can open an office, it cannot represent itself as an office, branch, representative office, etc. of AYMNET and may not make promises on behalf of the company. It cannot collect money under the names of rent, dues, etc. on behalf of AYMNET. They must visibly demonstrate that the office is an independent ABG office.
4.4.8 An ABG cannot state or imply that the activities they organize or organizations are a company activity or an activity on behalf of the company. In this context, they cannot collect money by mentioning the name of the company.
4.5 Repackaging: ABGs cannot repackage or alter the labelling on packages of AYMNET Products and Services or Official AYMNET literature.
4.6 AYMNET Customer Satisfaction Policy: ABGs shall implement the AYMNET Customer Satisfaction Policy in compliance with this chapter and the information given in the official AYMNET literature on the subject. In particular, but not limited to, the following points should be taken into consideration:
4.6.1 ABGs shall inform AYMNET of a complaint from a customer and shall obtain and convey relevant information to AYMNET.
4.6.2 When an ABG's customer requests a refund under the AYMNET refund policy, ABG shall offer the customer the following options under its customer satisfaction policy, regardless of the AYMNET company:
(a) a full refund,
(b) replacement with a similar product, or
(c) set-off of the price of the product to be exchanged for something else;
4.6.3 ABGs may not make an offer or settlement that would make AYMNET directly liable for a complaint or product return.
4.6.4 ABGs are exempt from the AYMNET return policy except for products purchased for the entrepreneur level and purchases made by the customer through the official AYMNET website.
4.6.5 AYMNET is not liable for any damages caused by misuse or violation of the instructions for the use of the products.
4.7 Compliance with Applicable Laws, Regulations and Rules: ABGs shall comply with all applicable laws, regulations and legislation where they run their AYMNET Business. ABGs shall not engage in any activity that may damage the reputation of ABGs and/or AYMNET.
4.8 Deceptive or Unlawful Trade Practices: An ABG shall not engage in deceptive or unlawful trade practices.
4.9 Unlawful business Ventures or Activities: An ABG shall not conduct any unlawful or illegal business venture or engage in or participate in any unlawful or illegal business activity.
4.10 ABG's Relationship: ABG may not identify itself as an employee of AYMNET, imply or act in a manner that could be construed as such, or otherwise represent or act in any manner other than as an independent contracting party under a contract with AYMNET.
4.11 Concessions and Regions: AYMNET Sales and Marketing Plan does not include any special privileges or allocated special regions, provinces or countries. However, AYMNET reserves the right to amend the contract, documents and terms and conditions, including the entrepreneur business plan for establishing itself in the new country markets. It can also explain the conditions related to that country. All premium payments are made from Turkiye in the franchiser countries and payments are made with a deduction of withholding according to the Turkiye tax laws. According to the laws of the country ABG is a member of, ABG is responsible for the payments of taxes based on Earnings. The company has no responsibility.
4.12 Sales Activities Outside of AYMNET Business: ABGs are required to comply with the following conditions if they engage in authorized business activities outside of AYMNET or with non-AYMNET products and services:
4.12.1 An ABG that personally sells products or services other than AYMNET Products (e.g. tax services, insurance, investment, etc.) shall not attempt to persuade another ABG to sell such products or services and shall not offer to sell such products or services to another ABG. In this context, to persuade means to prevail up (or attempt to prevail up) another ABG to sell another product or service, whether for the purpose of generating revenue or otherwise.
4.12.2 In particular, ABG shall not, to the best of its knowledge, benefit from persons that they do not personally lead, including those in or connected to its personal Leadership Line, to promote and disseminate other business ventures. If an ABG is in a professional service business that deals with customers (e.g. auto repair shop, point of retail sale, barber or beauty salon, law, medicine, dentistry or accounting), they can find and serve customers who are ABGs. They cannot use their AYMNET business to develop their existing business other than AYMNET, or to present the aforesaid job to ABGs.
4.12.3 Neither the ABG nor the ABG's spouse/first-degree relatives or any other person named in the ABG Contract shall make use of information about or relating to other ABGs to promote or support non-AYMNET business.
4.12.4 An ABG cannot run a business in sectors or companies that may be competitors to AYMNET.
4.13 Interference with the activities of another ABG; No ABG may interfere with the activities of another ABG. In particular, the following are considered to be interference in the business of another ABG (the list below shows examples only):
4.13.1 In violation of AYMNET business rules, persuading or attempting to persuade an ABG to change the leadership line, transfer or abandon the AYMNET Business or promising a career to a candidate or attempting to obstruct the career of a candidate; or
4.13.2 Persuading or attempting to persuade an ABG to refuse to train, motivate or provide other support to a subordinate ABG; or
4.13.3 Inducing or attempting to induce an ABG to breach the ABG Contract, including the AYMNET Business Rules and other AYMNET Policies.
4.13.4 Persuading or attempting to persuade an ABG to act in violation of the AYMNET Business Rules or to engage in sales activities outside of AYMNET.
4.14 Spamming: "Spamming" means when someone sends unsolicited messages electronically to individuals or groups (e.g. fax, e-mail or SMS messages). ABGs shall not send, forward or otherwise communicate with individuals by electronic means without their prior express written consent. This includes, but is not limited to, sending emails through newsgroups, purchased mailing address lists, "safe lists" or other lists of individuals or organizations.
4.14.1 Job Adverts: If ABG responds to a job advertisement from a job seeker, ABG should clearly state in the first paragraph/head of the response that they are offering AYMNET's entrepreneurial job opportunity and that it is not a fixed wage and job opportunity with insurance. Misleading and deceptive advertisements cannot be made.
4.15 Manipulation of the AYMNET Entrepreneur Business Plan: An ABG cannot manipulate the AYMNET Entrepreneur Business Plan or the terms of the award/promotion/qualification in any way to suggest that eligibility for premiums or other payments of rewards and recognitions can be earned by any means other than those specified in the AYMNET Member Handbook or other official AYMNET literature.
This rule also applies to system-manipulating activities such as fake organization - sub-sequencing - etc. Aymnet reserves the right to terminate the contract of the person who provides incomplete or incorrect information on the ABG Candidate Member Registration Screen in order to establish a fake organization and act in violation of Aymnet Rules at any time or immediately.
4.16 Updating Personal/Business Information: An ABG is obliged to inform AYMNET when there is a change in their personal information (i.e. name, address and telephone numbers etc.) or business information (i.e. addition of a new ABG and Customer, change of business status etc.).
4.17 Privacy and Confidentiality: All ABGs are required to comply with the AYMNET Privacy Policy and applicable personal data protection laws and regulations. In addition to the provisions under Rule 9 of the AYMNET Business Rules regarding the use of AYMNET's trade name, trademarks and intellectual property materials, AYMNET's confidential and proprietary business information, including but not limited to, by way of example below, Leadership Line information (i.e. information compiled by AYMNET that describes in whole or in part the leadership relationships within the AYMNET Business, including, but not limited to, ABG lists, leadership relationship charts and all ABG or AYMNET Business information in its present and future form derived therefrom), business information, manufacturing and product development, business plans and ABG sales, earnings and other monetary information, etc. AYMNET recognizes commercially advantageous, unique and copyrighted trade secrets and business secrets, and AYMNET retains the intellectual property thereof, keeps them confidential and treats them as trade secrets and business secrets, which are "Intellectual Property Information" within the meaning of the ABG Contract.
4.18 Risk to Reputation: An ABG may not carry out any activity that may adversely affect the reputation of AYMNET, the AYMNET Business, AYMNET Products and Services and other ABGs.
4.19 Product Sales by ABGs: AYMNET products may only be displayed and/or sold by ABGs. ABGs cannot sell products below the prices set in the announced product sales price list and cannot organize campaigns free of charge. An ABG cannot sell, promote or direct products to another ABG or its customers.
4.20 An ABG cannot participate in, induce or attempt to induce or attempt to induce other ABGs to participate in the business presentation of another competitor.
4.21. Being Active: For an ABG to qualify for the specified premiums and prices, they should make a 375 pv. personal product purchase through www.aymnet.com.tr (or through websites of other countries created by AYMNET) on the first and the last day of every month. (AYMNET has the right to change the activeness point) Pvs and cvs occurred in the team for every month not being active will not be transferred to the other month, and pvs and cvs transferred from the previous active months will be deducted by 20%.
Chapter 5. Additional Responsibilities and Obligations of Leaders
5.1 General Duties and Responsibilities of Leaders
5.1.1 Leaders must promote the AYMNET Entrepreneur Business Plan as an equal opportunity open to all, regardless of ethnicity, gender, nationality or religious or political beliefs.
5.1.2 Leaders cannot make any demands and promises under any name whatsoever on behalf of their own person and interests from the existing ABG in their team and the new ABG to be registered in ways not defined in this contract and its annexes. For example:
a. A request to purchase a certain amount of services.
b. Demand for a certain minimum stock keeping
c. Request to purchase any Training Materials
d. Prepayment, debit and credit requests for career building
e. Request for refund of the premiums reflected in the intervening ABGs in case of enrollment assignment to a sub-team
f. Request to purchase products or services outside the AYMNET product group or to improve AYMNET business
g. Requesting or receiving services from employees or consultants working in other Network companies
h. Unlawful and unethical promises, etc.
5.1.3 AYMNET may assign a leader to the applicant in case of a product or AYMNET job application directly or through the website/social media.
5.1.4 The Leader shall train and motivate the ABG in compliance with the AYMNET Business Rules and AYMNET Policies or cooperate with all ABGs to ensure that such training and motivation takes place.
5.1.5 AYMNET does not find it necessary to hold stock or purchase stock. A significant portion of the premiums under the AYMNET Entrepreneur Business Plan are paid based on sales to end consumers. Therefore, for an ABG to qualify for a premium under the AYMNET Entrepreneur Business Plan, products must be sold to end consumers in proportion to the amount of products purchased by the ABG from AYMNET. AYMNET reserves the right to withhold all qualifications, awards and incentives if AYMNET decides that the products purchased are not commensurate with sales to end consumers. ABGs are obliged to send respective evidence to the EMMNET in compliance with this rule, if requested by the AYMNET.
5.1.6 They must maintain an independent relationship between themselves and the ABGs they lead.
5.1.7 They must use their best efforts to ensure that all ABGs in their teama fully comply with the ABG Contract, including the AYMNET Business Rules, AYMNET Policies and all applicable laws and regulations.
5.1.8 They must make every effort to encourage all ABGs in their team to attend official AYMNET meetings and events (including those organized by the company).
5.1.9 All ABGs must explain ABG's responsibilities and obligations under the ABG Contract, including AYMNET Business Rules and AYMNET Policies, and ensure that they are taught how to conduct AYMNET Business in compliance with the ABG Contract, AYMNET Business Rules and AYMNET Policies and other official AYMNET literature.
5.1.10 A Leader cannot contact another Leader's team independent of their own line without their permission.
5.2 Responsibilities of ABGs at and above the Sapphire Entrepreneur Level:
In order to gain and maintain the title and privileges of an ABG, Sapphire Entrepreneur level and above, the qualification requirements are set out in the official AYMNET literature. The tasks included in these conditions are:
5.2.1 To support and abide by AYMNET Business Rules and AYMNET Policies, and to teach and encourage other ABGs in the Business Group to do the same.
5.2.2 Training ABGs in their team.
5.2.3 Encouraging the proper completion of forms and questionnaires required by the company.
5.2.4 Training ABGs in their team and, if invited by other leaders, in other leaders' teams on running the AYMNET Business and on AYMNET products, including the AYMNET Customer Satisfaction Policy.
5.2.5 Participating in all AYM Academy certificate programs, etc. organized by AYMNET (except recurring ones).
5.2.6 Motivating ABGs to encourage their team to participate in AYM Academy certificate programs in order to do AYMNET work more professionally.
5.2.7 Performing career related duties assigned by AYMNET.
Chapter 6. Protecting Leadership Lines
6.1 Re-Application under a New Leader: The application of a former ABG is accepted by AYMNET only under the following conditions:
6.1.1. If an ABG under the current Leader has terminated their contract by resigning, the ABG may start as a new ABG under a new Leader after a waiting period of at least 6 months.
An old ABG should remain inactive and not carry out any ABG activities. This waiting situation is explained below:
6.1.1.1. Not purchasing an AYMNET Product from AYMNET for business use, such as an ABG (as a Customer, one may only purchase products for personal use); or
6.1.1.2. Not selling AYMNET Products and Services or not participating in any stage of the sale, not taking orders, not making deliveries ; or
6.1.1.3. Not making an AYMNET Entrepreneur Business Plan presentation to any candidate; or
6.1.1.4. Not participate in any meeting/event that is held, sponsored or organized by any ABG or promoted to ABGs or candidates, regardless of the country in which the activity takes place; or
6.1.1.5. Not attending any AYMNET meeting, including those organized by the ABGs; or
6.1.1.6. Not participating in any activity organized by or on behalf of another ABG, whether on their own behalf or on behalf of another person; or
6.1.1.7. Not to continue ABG activities through spouse or 1st degree relatives
6.1.2. Corrective Measure: When it is learned that an ABG, who is required to be inactive for 6 months due to resignation, participates in any ABG activity during this period, they shall be in violation of the ABG Contract, even if they subsequently sign a contract and becomes an ABG again.
In this situation, AYMNET can cancel ABG's AYMNET Job and can demand the premiums it paid with their statutory interests if necessary. The sponsor who allows an ABG in the system to start from a different line will be imposed sanctions due to ethics.
AYMNET has the right to object within one (6) month from the date it learns that a former ABG has accepted an ABG application under a new leader, contrary to the rules set out in Article 6 of this Contract. This right of appeal cannot be exercised if one (6) months has elapsed since the registration date of the old ABG.
6.2. Other Liquidations: In a single license, the separation of the wife - husband (partner) can only be realized through a transfer between the partners. If it is decided to separate the AYMNET Business, this separation must be carried out in a way that does not adversely affect the interests and/or income of the AYMNET Business in the Leadership Line. The partnership shall be deemed to continue until the transfer between the partners is notified to the company in writing. In the event that Spouses who have a joint license get a divorce, a legal document (divorce settlement or notarial contract) showing who is going to be the license holder regarding the AYMNET job should be declared.
6.2.1. Liquidation of a Legal Entity Conducting an AYMNET Business: A legal entity carrying out an AYMNET Business may, prior to its liquidation, transfer the AYMNET Business to the authorized representative of the legal entity that is the ABG (unless AYMNET has given its express written consent to the contrary). Otherwise, the ABG contract shall be terminated.
6.2.2. Collectively, in case of the resignation of ABGs, even if the 6-month waiting period has expired, the ABG cannot conclude an ABG contract under another leader without the approval of the company.
6.2.3. If an ABG's contract has been terminated by a decision of the Ethics Committee or if they have resigned due to an ethical offense without having had the opportunity to do so, their request to return to their AYMNET job can only be accepted by a decision of the company's board of directors.
6.2.4. An ABG's contract may be terminated at any time by the company (to protect the business of other leaders of the company) due to ongoing litigation or adverse public scrutiny in their private or professional lives.
Chapter 7. Presentation of AYMNET Entrepreneur Business Opportunity and AYMNET Entrepreneur Business Plan
7.1. Invitations and Presentations: When inviting a candidate to an AYMNET Entrepreneur Business Plan presentation, an ABG must not give a false impression or otherwise misrepresent the AYMNET Entrepreneur Business Opportunity or the nature of the invitation and presentation, therefore the ABG must specifically:
7.1.1. They shall not give the impression that the presentation or the AYMNET Entrepreneur Business Opportunity is an opportunity to get a paid job.
7.1.2. They shall not create the impression that the invitation is a social event;
7.1.3. They shall not camouflage the invitation as a "market study";
7.1.4. AYMNET shall not promote the Entrepreneur Business Opportunity as a business relationship with any person, company or organization other than AYMNET;
7.1.5. AYMNET shall not indicate that the AYMNET Products and Services are only a portion of the products distributed by a brokerage, forwarding or intermediary business operated by a person, company or organization other than AYMNET;
7.1.6. AYMNET shall not indicate that the Entrepreneur Business Opportunity, ABGs, AYMNET Products and Services are part of another business;
7.1.7. In such an invitation, they shall emphasize that the presentation is about AYMNET Entrepreneur Business Plan and AYMNET Entrepreneur Business Opportunity;
7.1.8. AYMNET shall not misrepresent the Entrepreneur Business Opportunity, ABG's relationship with AYMNET and the nature of the AYMNET Business or omit to provide information necessary for a proper evaluation of the AYMNET Entrepreneur Business Opportunity and AYMNET Products and Services.
7.1.9. AYMNET shall not promote the Business as a passive investment opportunity, a franchise opportunity or an annuity offer, a fixed income opportunity or some form of capital investment.
7.1.10. AYMNET shall state that the benefits provided within the extent of the AYMNET Entrepreneur Business Plan arise from the purchase and sale of AYMNET Products and Services and/or making others members who do the same and shall not explain otherwise.
7.1.11. An ABG cannot lead or direct the guests of another ABG in invitations and AYMNET Entrepreneur Business Plan presentations. Guests attending any of the AYMNET events as an invitee of an ABG cannot buy products from another ABG and cannot register. The duration of this sanction is limited to 30 days.
7.1.12. The invitation to business is only valid if the person concerned is invited to become an entrepreneur as a result of a clear explanation of the products, the entrepreneurial business plan and other issues related to the AYMNET business. Otherwise, the 30-day protection shall be deactivated (applies to registrations that are registered in the system and have not received a product).
7.1.13. Disputes arising under these articles are the subject of the Ethics Committee and the burden of proof lies with the claimant.
7.2. Initial Introductions with Candidates and Prospects: In the first contact with ABG candidates or prospective customers of AYMNET Products and Services, ABG should pay attention to the following points:
7.2.1. They must take care to represent the company in the best possible way in terms of appearance in the first contact and in all contacts.
7.2.2. They must introduce themselves by name and explain that they are ABG,
7.2.3. They must promote AYMNET and the relationship between the ABG and AYMNET in an appropriate way
7.2.4. They must state the purpose of this contact, i.e. the sale of AYMNET Products and Services and/or the promotion of the AYMNET Entrepreneur Business Opportunity to the candidate,
7.2.5. The candidate must answer the candidate's questions about the AYMNET Entrepreneur Business Opportunity, AYMNET Products and Services, ABG or AYMNET with accuracy and honesty and with full transparency.
7.3. Leadership Rules: No ABG shall take any action, make any statement or refrain from making any statement that is not true and accurate in terms of content and circumstances in relation to the AYMNET Business or the AYMNET Entrepreneur Business Opportunity. The ABG must pay attention to (for example, but not limited to) the following:
7.3.1. Only current profits, earnings, sales figures and percentages should be disclosed as published by AYMNET.
7.3.2. Use only official AYMNET literature and AYMNET approved materials.
7.3.3. In addition to presenting earnings and/or bonuses based on their own personal experience, they should also disclose current average profits, earnings and sales figures and percentages published exclusively by AYMNET.
7.3.4. As a result of the fact that they have indeed established a successful AYMNET Business, they can cite examples of their personal lifestyle and charitable contributions, provided that they are based on the profits from this business.
7.3.5. They must emphasize that AYMNET pays a premium based on the sales of AYMNET Products and Services.
7.3.6. They should not suggest that the AYMNET Business is a "getting rich quickly" opportunity where success can be achieved with little or no time and effort.
7.3.7. They must not misrepresent the relationship between AYMNET and institutions and organizations affiliated to or cooperating with AYMNET.
7.4. There are No Special Zones: No ABG shall say that there are special zones as part of the AYMNET Entrepreneur Business Opportunity.
7.5. No Obligation to Purchase: An ABG shall not be obliged to purchase any products and/or services other than the official AYMNET literature intended for use by newly registered ABGs.
Chapter 8. Exercise of AYMNET Intellectual Property Rights
8.1. ABG shall use AYMNET's trademarks or other copyright and intellectual property owned by AYMNET or registered to AYMNET only in compliance with the applicable terms, rules and procedures set forth in the ABG Contract, including the AYMNET Business Rules and AYMNET Policies.
8.1.1. AYMNET is the registered owner of some trademarks, e.g. logos, service marks and other intellectual property and industrial property copyrights. This includes the AYMNET name, various trademarks, trade names and service marks used in connection with AYMNET Products and Services and various label designs.
8.1.2. ABGs may use copyrighted intellectual property materials owned or registered to AYMNET only with the prior written consent of AYMNET. This use may be subject to certain conditions set by AYMNET in the written confirmation attachment, unless otherwise stated herein.
8.2. Business Cards: An ABG in full compliance with the AYMNET Business Rules and all other provisions of the ABG Contract may - unless otherwise directed by AYMNET - use the AYMNET name (but not the AYMNET™ logo or any other trademarks, trade names or service marks owned by or registered to AYMNET) on its printed business cards, provided that such name is written without modification in one of the following ways:

8.3. Promotional literature, stationery, giveaways, etc: ABGs shall not produce or obtain from any source other than AYMNET any material bearing the AYMNET name or logo or trademarks, trade names or service marks owned by or registered to AYMNET.
8.4. ABG Advertisements: An ABG can use advertising media in any medium to promote AYMNET, AYMNET Products and AYMNET Entrepreneur Business Opportunity, provided that they have obtained AYMNET's prior written consent. The request must be submitted in writing at least 30 days before the intended start date and must be accompanied by a copy of the proposed advertisement and additional information about the media. AYMNET may withdraw this approval at its discretion.
8.5. Social Media Usage: No ABG can use a name, domain name (domain/hosting), image and content on its personal social media accounts and websites that may give the impression that it is the official social media account and/or website of AYMNET.
No ABG can use images, content, campaigns, videos, etc. not approved by AYMNET on personal social media accounts and websites.
8.6. ABG (AYMNET Active Life Center) Offices: No ABG can use signboards, visuals and advertising content in their personal offices or ABG offices (active life centers) to give the impression that they are an official office/representation/branch/center of AYMNET.
8.7. Use of ABG Personal Data: AYMNET is authorized to send SMS, e-messages and e-mails to ABGs for campaign, promotion and information purposes when deemed necessary.
ABGs irrevocably agree and declare that the product results, income results, success stories they have received can be used by AYMNET even if the contract ends.
By approving this contract, ABGs are deemed to have accepted the PDPL (Law on Protection of Personal Data) clarification text and explicit consent form and AYMNET's PDPL (Law on Protection of Personal Data) policies.
Chapter 9. Death, Will and Abandonment
9.1. Death: In the event of the death of an ABG, the AYMNET Business is passed on to their heirs. If an ABG dies without leaving an inheritance, the laws on legal succession shall apply to the transfer of the AYMNET Business. The statute of limitations for this claim is 1 year from the date of death.
9.2. Will: ABG, AYMNET business can be inherited as a will. This heir or chosen persons must assume all the responsibilities of the testator, including all commissions and/or other payments to which the
testator is entitled and which have been paid in compliance with the provisions of the AYMNET Entrepreneur Business Plan. The statute of limitations for this request is 1 year from the date of opening the will.
Chapter 10. Breach of Contract; Procedures and Sanctions
10.1. Procedures
10.1.1. Investigation: The AYMNET Ethics Committee may investigate the activity of the ABG in question if it believes/thinks that the ABG Contract has been, will be or threatens to be violated. AYMNET Ethics Committee may initiate such an investigation without any request or upon complaint.
10.1.2. Complaints from ABGs: If an ABG has information about the activities that another ABG has violated the ABG Contract by acting contrary to the AYMNET Business Rules and AYMNET Policies, they shall inform the AYMNET Ethics Committee in writing or electronically ([email protected]), attaching all evidence of the alleged violation.
10.1.3. Upon receipt of this notification, the AYMNET Ethics Committee shall notify the relevant ABG of the complaint and request their immediate defense. A copy of the complaint notification and/or investigation letter shall be sent to the relevant senior line leader(s) of the ABG that the Ethics Committee has recognized.
10.1.4. If the complaint and the defense given to the complaint do not contain sufficient information to make a decision, AYMNET Ethics Committee may request additional information from the parties.
10.1.5. The AYMNET Ethics Committee shall decide, based on the available findings and documents, whether there has been a violation of the AYMNET Business Rules and AYMNET Policies or other provisions of the ABG Contract and shall take necessary measures in accordance with the Compliance Section of the AYMNET Business Rules.
10.2. Sanction Notification.
10.2.1. AYMNET Ethics Committee shall send a decision letter to the offending ABG as well as to the relevant top rank leader(s) of the ABG that the Ethics Committee has recognized. If the investigated ABG believes that the decision taken by the AYMNET Ethics Committee is unjustified, they have the right to file a complaint within 7 days from the date of notification of the decision and they can request a reconsideration of the decision.
10.3. Content of the Notification:
10.3.1. The AYMNET Ethics Committee Decision shall be sent to ABG, by any means permitted by law, to ABG's address registered at the back office or to its e-mail address.
10.3.2. This notice shall state the section(s) of the AYMNET Business Rules or other provisions of the ABG Contract that have been breached or not complied with and the effective date of the action taken.
10.4. Waiver of Rights: ABG against whom action has been taken for breach of the AYMNET Business Rules and AYMNET Policies or any other provision of the ABG Contract shall have no claim against AYMNET as a result of or related to such action.
10.5. Sanctions:
AYMNET Ethics Committee imposes the appropriate one of the following sanctions on the ABG who violates the rule; according to the importance of the violated rule, the personality of the violating ABG, the form of the violation, the intensity of the intention in committing the violation, the amount and importance of the resulting damage, the severity of the effects caused or to be caused by the result of the violation. Necessary measures are also taken upon the initiation of the investigation by the ethics committee.
a) Warning,
b) Denouncement,
c) Compensation for damage,
d) Deprivation of participation in education,
e) Deprivation of appreciation and honor,
f) Deprivation of deserved qualifications,
g) Return of progress billings with the statutory interests,
h) Suspension of purchase rights and earnings,
i) Fines (deduction of payments),
j) Suspension of the contract,
k) Commencement of legal proceedings,
l) Termination of contract and dismissal
10.5.1. In the event of termination, whatever the reason, the ABG shall act as follows:
a) They shall cease to use all trademarks, trade names, marks or other copyrighted things owned or registered by AYMNET.
b) They cannot sell the earned badges, and can return them for the price determined according to market conditions.
c) They shall cease to identify itself as ABG;
d) They shall cease to engage in ABG activities as set out in, but not limited to, Chapters 4, 5 and 6 of the AYMNET Business Rules.
e) AYMNET's failure to take any action in response to such a breach of the ABG Contract by an ABG shall not constitute a waiver of any other rights or remedial measures provided by applicable law.
f) This contract was made between AYMNET Bitkisel ve Temizlik Ürünleri Danışmanlık İthalat İhracat San.Tic. A.Ş. and other AYMNET Branches and Franchises opened in other countries and the ABG. While registering through www.aymnet.com.tr (or through websites of other countries created by AYMNET), ABG accepts and signs in the Electronic environment with the "I Read and Accept the Membership Contract) button at the end of the contract. Even though the other languages are recorded into the system by being translated by a certified translator, ABG accepts the valid Turkish version. In the event of a dispute, Turkish text will be taken as a basis. Additionally, the proper law regarding the Contract is accepted as Turkish Law, and the competent court is also accepted by the authority of T.R. Bursa court and enforcement offices.
